1. Acceptance of Terms and Eligibility

These Terms of Service ("Terms") govern access to and use of the Blogyeah platform ("Service") operated by Miranda Mountain Mediaworks LLC ("Company," "we," "us"). By registering for, accessing, or using the Service, you agree to be bound by these Terms.

The Service is provided solely for B2B use. By using the Service, you represent and warrant that you are acting in the course of your trade or business, and not as a consumer.

2. Account Registration and Security

Use of the Service requires account registration. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account.

3. Subscription, Billing, and Payment Terms

Plans:

Basic: $49/month or $468/year
Pro: $99/month or $948/year

Add-on services (one-time):

WordPress blog setup from scratch ($499): WordPress installation on Hetzner server, theme, basic SEO configuration, BlogYeah integration - everything ready for the first post.
Setup assistance & configuration ($99 Basic / $199 Pro): connecting an existing WordPress site to BlogYeah, configuring writer agents, source feeds, and onboarding.

Payments are processed via Stripe; we do not store card numbers. Subscription fees are billed in advance and automatically renew until cancelled.

All prices are net prices and exclude any applicable VAT or other local taxes. For EU-based customers providing a valid VAT registration number, the reverse charge mechanism applies - the customer is responsible for declaring and paying VAT in their own jurisdiction.

3a. Custom Article Writing and Credits

The Service offers a separate, one-off custom article generation feature ("Custom Article Writing"), distinct from and available in addition to the monthly article quota included in your subscription plan.

Each calendar month, 1 free custom article is included. Any unused free credit does not roll over to the following month and does not accumulate - it is forfeited at the end of the month.

Beyond the free allowance, credit packs may be purchased as one-time payments, at the rates currently listed in the app:

1 credit - $3.99
5 credits - $16.99
25 credits - $74.99

Purchased credit packs do not expire.

Custom articles are subject to the same rejection rules described in Section 8 of these Terms (the Customer may reject a given article up to 3 times; after the fourth failed attempt the post is marked as "permanently failed"). If a custom article reaches "permanently failed" status after the maximum number of rejections, the free or paid credit consumed for that article is not refunded or credited back - the Customer retains access to all previously generated draft versions, but the credit is deemed used.

Credits purchased or used for Custom Article Writing do not count toward, and do not reduce, the monthly article quota included in your subscription plan.

4. Free Trial Terms

We offer a 14-day free trial for new customers. A valid credit card is required. Unless you cancel before the trial ends, your subscription will automatically convert to the selected paid plan.

5. Cancellation Policy

You may cancel your subscription at any time. Upon cancellation, access continues until the end of the then-current paid billing period.

5a. Account Deletion and Data Retention

Customers may request account deletion at any time through the Account Settings page. Upon submission:

Any active subscription is automatically cancelled at the end of the current billing period.
Data and access are retained until the end of the paid billing period.
During this grace period, the Customer may cancel the deletion request and the subscription will be reinstated.
After the billing period ends, all data (posts, newsletter settings, configurations, etc.) is permanently deleted and cannot be recovered.
Users who re-register with the same email address are not eligible for the 14-day free trial.

For accounts without an active subscription, all data is deleted immediately and permanently upon the deletion request.

6. Refund Policy

Monthly plans: no refunds for partial months.
Annual plans: pro-rated refund for the unused portion may be requested within 14 days of the first charge following the free trial period.
One-time add-on services are non-refundable once performance has begun, except as required by mandatory law.

7. Acceptable Use Policy

You may not use the Service to: send spam; create or distribute illegal content or content that infringes third-party rights; resell or sublicense the Service without prior written consent.

8. AI-Generated Content Disclaimer

You are solely responsible for reviewing, editing, and approving all AI-generated content prior to publication. We do not guarantee the accuracy, originality, legality, or SEO performance of AI-generated content.

Miranda Mountain Mediaworks LLC accepts no liability whatsoever for the quality, accuracy, completeness, factual correctness, legal compliance, merchantability, or fitness for any particular purpose of any AI-generated content. Any and all liability arising from the publication, distribution, or use of generated content rests solely with the Customer.

Content generation flow and rejection rules:

The monthly article quota included in your subscription plan applies to automatically scheduled blog post generation. Each generated article must be approved by the user before publication. A customer may reject a given article up to 3 times (each rejection requires written feedback); after the fourth failed attempt the system marks the post as "permanently failed" and restores the consumed quota unit. For permanently failed posts, any previous draft version may be restored for approval, or a free full restart may be requested once per calendar day per account (across all failed posts): this restart runs the entire pipeline from scratch (research, writing, cover image generation). Requests exceeding the one free restart per day are rejected; the customer may try again the following day.

9. Intellectual Property

You retain ownership of all content you create through the Service. We retain all right, title, and interest in and to the Service and platform.

10. Service Availability

We target 99.5% uptime on an annual basis. Planned maintenance windows are excluded from this calculation.

11. Limitation of Liability

Our total aggregate liability shall be limited to the fees actually paid by you in the three (3) months preceding the event giving rise to the claim. This limitation shall not apply where prohibited by mandatory law.

Miranda Mountain Mediaworks LLC accepts no liability for any impact that Blogyeah's services may have on the Customer's business - including but not limited to effects on revenue, web traffic, search engine rankings, customer base, brand value, or any other business metric - whether positive or negative. We expressly exclude liability for loss of profits, loss of business opportunity, loss of goodwill, and any indirect or consequential loss of any kind.

12. Indemnification

You agree to indemnify and hold harmless the Company from claims arising from content you publish, your unlawful use of the Service, or your breach of these Terms.

13. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, United States.

14. Dispute Resolution - Binding Arbitration

Any dispute shall be resolved by binding arbitration seated in Wyoming, United States. The parties waive any right to a jury trial or class action.

15. Changes to These Terms

We will provide at least 30 days' notice via email of any material changes.

16. Termination

We may suspend or terminate your account if you violate these Terms, providing reasonable prior notice where circumstances permit.
